Donation Agreement
Theoremind LLC Project Computational Space
Effective Date: August 6, 2026
This Donation Agreement ("Agreement") governs voluntary donations and financial contributions made to Theoremind LLC, an Oklahoma limited liability company ("Theoremind," "Company," "we," "us," or "our"), for Project Computational Space ("Project").
The Project is a scientific research initiative focused on understanding the fundamental nature of spacetime and cosmic expansion, developing computational models of the universe, and exploring whether physical processes associated with spacetime and cosmic expansion can ultimately be reproduced or engineered by humans.
By making a donation, the donor ("Donor" or "you") acknowledges that you have read, understood, and agreed to this Agreement.
1. Recipient of Donations
All donations made through the Project are received by:
Theoremind LLC
An Oklahoma Limited Liability Company
United States
Theoremind LLC operates and manages Project Computational Space and is responsible for determining how funds contributed to the Project are used.
Project Computational Space is a research initiative of Theoremind LLC and is not represented as a separate legal entity unless expressly stated otherwise.
2. Purpose of Donations
The purpose of Project Computational Space is to investigate fundamental questions concerning space, spacetime, cosmic expansion, computation, information, and the physical foundations of the universe.
One of the Project's long-term research goals is to investigate the following question:
When the universe expands and creates additional spatial separation, what physical operation is nature performing?
If such an underlying physical mechanism can be identified, the Project may investigate whether aspects of that mechanism can be experimentally reproduced.
The ultimate long-term research objective is to determine whether humans could someday create, expand, manipulate, or otherwise engineer physical spacetime.
These objectives are research goals only. They are not representations or guarantees that such results are scientifically or technologically achievable.
3. Use of Donations
Donations may be used to support the Project and related research activities, including:
- theoretical physics research;
- computational universe research;
- research into cosmic expansion and spacetime;

Unless Theoremind LLC expressly agrees otherwise in writing, all donations are unrestricted contributions supporting the Project generally.
Theoremind LLC retains discretion regarding the allocation and use of donated funds in furtherance of the Project's research mission.
4. Voluntary Contribution
All donations are voluntary.
A donation is not a purchase of goods or services.
A donation is not an investment.
A donation is not a loan.
A donation does not constitute the purchase of securities, equity, membership interests, or any other ownership interest in Theoremind LLC or Project Computational Space.
Donors should contribute only amounts they are willing and financially able to give without receiving repayment or financial return.
5. Donations Are Nonrefundable
ALL DONATIONS ARE FINAL AND NONREFUNDABLE.
Once a donation has been successfully submitted and accepted by Theoremind LLC, the Donor has no right to cancel, withdraw, reverse, or request repayment or refund of the donation.
This applies regardless of:
- whether the Project achieves its research objectives;
- whether a particular experiment succeeds or fails;
- whether a particular theory is supported or rejected;
- whether research produces useful results;
- whether research priorities change;
- whether a particular research program is postponed or discontinued;
- whether the Project develops commercially useful technology; or
- whether the Donor later changes their mind.
A refund may be provided where required by applicable law or where Theoremind LLC determines that a transaction resulted from a verified payment-processing error, duplicate transaction, or unauthorized use of a payment method.
Except for such circumstances:
Donations are irrevocable and nonrefundable to the fullest extent permitted by applicable law.
6. No Guarantee of Scientific Success
Scientific research is inherently uncertain.
Theoremind LLC does not guarantee that Project Computational Space will:
- discover the fundamental cause of cosmic expansion;
- discover the physical mechanism underlying cosmic expansion;
- establish that the universe is computational;
- establish that spacetime emerges from computation or information;
- discover a computational model underlying physical spacetime;
- discover the nature of dark energy;
- create physical space;
- create additional spacetime;
- expand or manipulate spacetime;
- engineer spacetime;
- develop any particular technology;
- produce any particular scientific discovery;
- obtain any particular patent or intellectual property;
- publish any particular scientific result; or
- achieve any commercial or financial outcome.
Some or all of these objectives may ultimately prove impossible.
The Donor understands and accepts this uncertainty.
A donation supports scientific investigation. It does not purchase or guarantee a scientific result.
7. Changes in Research Direction
Scientific research evolves as new evidence becomes available.
Theoremind LLC may modify, expand, reduce, postpone, replace, or discontinue any research program or experiment based on scientific results, technological developments, available funding, safety considerations, regulatory requirements, personnel availability, or other circumstances.
Donations may therefore be redirected among research activities and supporting activities that Theoremind LLC reasonably determines further the overall objectives of Project Computational Space.
Such changes do not create a right to a refund.
8. No Ownership or Financial Rights
Making a donation does not provide the Donor with:
- ownership of Theoremind LLC;
- membership interests in Theoremind LLC;
- shares or securities;
- voting rights;
- management rights;
- profit-sharing rights;
- dividends;
- interest;
- royalties;
- repayment rights;
- intellectual property rights;
- patent rights; or
- rights to future technologies developed by the Project.
A donation should not be made with the expectation of financial return.
9. Intellectual Property
Unless otherwise agreed through a separate written agreement, making a donation does not give the Donor any ownership interest or license in intellectual property associated with Project Computational Space.
Inventions, discoveries, software, algorithms, computational models, datasets, designs, documentation, patents, patent applications, copyrights, trademarks, trade secrets, know-how, research results, and other intellectual property developed through Project activities will remain the property of Theoremind LLC or their respective lawful owners, as applicable.
Theoremind LLC may determine whether and how Project intellectual property is published, licensed, commercialized, protected, or otherwise used.
10. Donor Does Not Control Research
Unless a separate written agreement expressly provides otherwise, a donation does not give the Donor authority to direct:
- scientific research;
- research priorities;
- experiments;
- hiring;
- personnel;
- expenditures;
- publications;
- intellectual property decisions;
- commercialization decisions;
- partnerships; or
- management of Theoremind LLC or Project Computational Space.
Theoremind LLC retains control over Project operations and research decisions.
11. Tax Status and Tax Deductibility
Theoremind LLC is an Oklahoma limited liability company.
Unless expressly stated otherwise in official written documentation provided by Theoremind LLC, Theoremind LLC is not representing itself as an organization described in Section 501(c)(3) of the Internal Revenue Code.

This Agreement and donations made pursuant to it will be governed by the laws of the State of Oklahoma, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
To the extent permitted by applicable law, any legal proceeding arising from this Agreement or a donation shall be brought in a court of competent jurisdiction located in the State of Oklahoma.
20. Changes to This Agreement
Theoremind LLC may update this Agreement from time to time.
The version of the Agreement in effect when a donation is made will generally govern that donation, except where changes are required by applicable law.
